The terms our quotes and supplies are made on

These are the terms our quotes, order confirmations and supplies are made on. They apply unless we have signed something else with you. Your own purchasing conditions do not apply, even if we do not object to them when you send them.

We sell to organisations, not to consumers: research institutes, manufacturers, laboratories, hospitals and distributors. By ordering you confirm you are acting for one.

1. Prices and what a published price means

The price on the venom exchange is our current price for physical material we deliver. It is a reference for buyers, not a market instrument: there is nothing to trade, no contract, no clearing and no settlement, and we take no positions in it. It carries no obligation on either side to deal at any published number. It moves with what we can supply, what is being asked for, and the euro against the Egyptian pound.

Prices are in euro, per gram, ex works Cairo, exclusive of freight, insurance, duties and any tax at destination. The minimum order is half a gram. Volume pricing applies to the quantity on a single order, not to what you order over a year. Obvious errors in a published or quoted figure do not bind us.

2. How an order comes about

An order request through this site is a request, not a binding order. We reply with a formal quote and a proforma invoice, normally within one working day.

The price we quote is the published price at the moment your request reached us, and we hold it for five working days. A later move in the published price does not change a quote you already have; if the quote lapses, we requote at the price of the day.

The contract is formed when you accept the proforma invoice and we confirm the order in writing. Until then, both sides are free to walk away.

3. Payment

First orders are paid in advance by bank transfer. Established accounts move to part payment on order with the balance due before dispatch. Letters of credit are accepted for volumes at the 100 g break, confirmed by a bank acceptable to us, with all charges outside Egypt for your account.

Payments are in euro and free of bank charges to us. We may hold dispatch of any shipment while an invoice on your account is overdue.

4. Delivery

Delivery terms are Incoterms 2020, EXW Cairo unless the order confirmation says otherwise. Risk passes with delivery under the agreed term. CIP, DAP and DDP are quoted on request, and you can nominate your own courier account instead.

Lead times are estimates given in good faith, not fixed dates. Up to 10 g ships from stock where available, otherwise within four to six weeks. Larger volumes are scheduled against the extraction programme and delivered in instalments against an agreed schedule; each instalment is invoiced as it ships.

5. Export, import and permits

We handle export clearance from Egypt and issue the export documentation.

You are the importer of record. Holding whatever authorisation applies at destination for biological material of animal origin is your responsibility, and no delivery term moves it to us. Tell us the destination and the intended use early and we will tell you what has been accepted on previous shipments to that market, but that is information, not a permit, and it is not legal advice.

You confirm that the material is not for re-export to a destination under sanctions or export controls that would prohibit it, and not for onward supply to anyone who would use it outside these terms. Where a licence is refused or withdrawn at either end, either side may cancel the affected order without liability beyond refunding what has been paid for undelivered material.

6. What the material may be used for

Venom and related biologicals are supplied for laboratory research and manufacturing use only. They are not medicinal products and are not for human or veterinary administration, and they may not be resold to consumers or supplied to anyone who intends either.

You are responsible for handling the material competently: qualified personnel, appropriate containment, and compliance with the biosafety and occupational rules that apply where you are. The safety data sheet is issued with the material and is to be read before it is opened.

7. Documents and conformity

Every shipment carries a lot-specific certificate of analysis, a safety data sheet, a commercial invoice and a packing list, and a certificate of origin. Other documents - a non-CITES statement, an end-use confirmation, or your own end-user declaration form - are issued on request.

The material conforms to the certificate of analysis for its lot. That certificate is the specification: nothing on this website, in a datasheet or in correspondence adds to it.

Inspect the shipment on arrival and tell us about shortages, damage or non-conformity in writing within ten working days, before the material is used up. Where a complaint is justified we replace the material or credit the invoice, at our choice. Returns are not accepted without our written agreement, and opened vials cannot be returned.

8. Warranty and liability

Section 7 is the whole of our warranty. Everything else that could be implied by law is excluded so far as the law allows, including any warranty of suitability for a particular experiment, process or product.

Our liability for any order is limited to the invoiced value of the shipment concerned. We are not liable for indirect or consequential loss, lost profits, lost or contaminated experiments, or the cost of repeating work. Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

9. Force majeure

Neither side is liable for delay or failure caused by something outside its reasonable control. For this material that includes the animals: extraction is seasonal and yields vary, and a failed extraction season, a livestock or collection restriction, or an export ban is treated as force majeure. Where it lasts more than three months, either side may cancel the affected order.

10. Law and disputes

Egyptian law governs these terms and any contract made under them, including the UN Convention on Contracts for the International Sale of Goods where that convention applies to the sale. Where these terms say something different, they prevail.

Disputes we cannot settle between us go to arbitration under the rules of the Cairo Regional Centre for International Commercial Arbitration, seated in Cairo, in English, before a single arbitrator.

11. Using this website

The content here, including the published prices and the price history, is ours and is provided for information. We do not guarantee that the site or the price feed is continuously available, and a price shown while the feed is stale or unreachable is not a quote. Where the site is unavailable, the price is the one we confirm to you in writing.
